This is a legal agreement between you, the end user, and VTechSoft, Inc., ("VTech"). BY USING THIS SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PROMPTLY RETURN THE DISC(S) AND THE ACCOMPANYING ITEMS (including written materials and binders or other containers) TO THE PLACE YOU OBTAINED THEM FOR A FULL REFUND.
SOFTWARE LICENSE - Permitted Uses
GRANT OF LICENSE. VTech grants to you the end-user the non-exclusive right to use one copy of the enclosed CD-ROM software program (the "SOFTWARE") on a single computer (i.e. with a single CPU at a single location). You may not transfer the SOFTWARE onto a computer hard disk drive or other electronic storage device, except to the extent that the SOFTWARE installs any setup or install programs on your single computer. You may not use the SOFTWARE on a network server.
COPYRIGHT. The SOFTWARE, including sounds, music, recordings, images, photographs, still and motion video and text incorporated into the SOFTWARE, is owned by VTech, its affiliates or its suppliers and is protected by United States copyright laws and international treaty provisions. You may not copy the written materials accompanying the SOFTWARE.
OTHER RESTRICTIONS. You may not rent, lease or sub-license the SOFTWARE, but you may transfer the SOFTWARE, the most recent upgrade and all prior versions and accompanying written materials, on a permanent basis provided you retain no copies and the recipient agrees to the terms of this Agreement. You may not reverse engineer, decompile, disassemble or create derivative works from the SOFTWARE.
WARRANTY. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. VTECH DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE, THE ACCOMPANYING WRITTEN MATERIALS, AND ANY ACCOMPANYING HARDWARE. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS WHICH VARY FROM STATE TO STATE.
NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL VTECHSOFT, INC., ITS AFFILIATES OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF VTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE and documentation are provided with RESTRICTED RIGHTS and are classified as "Commercial Computer Software". Use, duplication or disclosure by the Government is subject to restrictions as set forth in subdivision (c)(1) of The Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or the Commercial Computer Software Restricted Rights clause at FAR 52.227-19(c) & 86(d), as applicable.
